Facebook sets IPO price at $38 a share
Let the show begin.Facebook has set the price of tomorrow's IPO at $38 a share, after phenomenally strong demand from big money managers to get in on the biggest Internet IPO in history. The price gives Facebook a market value of $104 billion out of the gate, more than the stock market value of Amazon and about half that of Google's.Facebook has raised $16 billion by selling 421.2 million shares. That's almost 10 times what Google raised when it went public in 2004, a deal that until now had been the record holder among Internet IPOs, according to data compiled by Renaissance Capital. The top U.S. IPO of all time is Visa, which raised $17.9 billion in March 2008. Earlier this week, Facebook boosted its price range, from $28 to $35 a share to $34 to $38 a share. This optimism comes even as big insiders -- investors Peter Thiel and Yuri Milner, among them -- just yesterday upped the number of shares they are selling in the offering because Facebook raised the price range. And the news about the company recently has hardly been all positive. Facebook took a publicity hit this week when General Motors said it was pulling $10 million worth of Facebook ads because they weren't working. Last month, Facebook reported a weak first quarter, showing that growth is slowing. And the company has acknowledged that as of yet it has no way to make money from its biggest growth area -- mobile. No matter. Investors don't want to hear any of that. The big boys have weighed in with their dollars, and tomorrow individual investors -- despite the obvious risk of getting in on day one -- will likely also pile in. After that, all bets are off.

Miami Heat’s Chris Bosh out “Indefinitely”
The Miami Heat defeated the Indiana Pacers in Game 1 on Sunday, but there’s no telling how the Heat will fare in the remainder of the playoff series against the Pacers without forward Chris Bosh. True, LeBron James and Dwayne Wade are regarded as the superstars of the team, but it’s not without some serious backup from Bosh. Fox Sports reported that an MRI exam on Monday confirmed that Bosh did in fact strain a lower abdominal muscle on Sunday night, and will be out “indefinitely,” meaning at the very least that he won’t be playing in Tuesday night’s Game 2. Fox Sports reported,“Chris Bosh and the Miami Heat were relieved by the diagnosis. It’s the prognosis – or lack of one – that’s a source of worry now.And suddenly, the Indiana Pacers may be even more of a threat.Bosh strained a lower abdominal muscle in Game 1 of the teams’ Eastern Conference semifinal series, that original diagnosis confirmed Monday after an MRI exam. The team said Bosh is out ”indefinitely,” though coach Erik Spoelstra and others say the injury could have been worse.Either way, Bosh is out for Game 2 on Tuesday, and sounds like he probably won’t play again in this series.”This season has to be extended for me to play again,” Bosh said. ”So that’s what’s on my mind.”Bosh was hurt late in the first half as he drove for a dunk and got fouled by Indiana’s Roy Hibbert. The foul almost certainly played no role in the injury, as Bosh fell forward to his hands and knees after landing and stayed down for a few seconds. He got up and made his free throw, but dropped to the court again on the ensuing possession, leaving the game for evaluation.”To read about what Heat teammates and the Pacers competition has to say about Bosh’s injury, click here.I hate to see any player go down for the count in the middle of the Playoffs. For right now, it seems that only time will tell how severe Bosh’s injury is, and whether or not he’ll be back during this Playoff series as the Heat continue to battle the Pacers.

FB IPO – Facebook ($FB) Stock IPO – Facebook.com
Facebook (FB), the world's leading social network, will IPO in May 2012 on the NASDAQ ( not confirmed yet ) under the ticker symbol FB. The Facebook (FB) IPO will be the Top IPO in 2012 when it comes public in May. Facebook (FB) stock is expected to receive a total valuation of between $100-$150 Billion when all is said and done. The lead underwriter for the FB IPO will be Morgan Stanley.Facebook.com is the world's top social networking website. Facebook (FB) has been growing at a rapid pace over the past 7 years and the growth continues in 2012.Should I buy the Facebook (FB) IPO? The Facebook (FB) IPO will gap higher when the stock opens for trading on the very first day. The demand for the FB IPO will be incredible and if they are only issuing $12 billion worth of shares, the stock will go up. The best advice I have when trying to buy the Facebook (FB) IPO is this. When the stock opens, wait for a correction or minor pullback to buy. The initial gap higher is usually sold into which creates a buying opportunity. We saw this happen with LinkedIn when that stock went public last year. Facebook (FB) stock could then rally after the initial pullback and provide multiple daily gains. After the initial public offering, I would sell and look for a correction towards the lockup expiration date ( usually 6 months after the IPO). Around the Facebook (FB) lockup expiration date, insiders and major stock holders have the opportunity to sell their FB stock. This normally creates another buying opportunity. If you like the Facebook (FB) IPO, wait until November 2012 when the lockup expiration comes.Buy stock in Apple (AAPL) vs Facebook (FB) - If Facebook (FB) does get the $100 Billion valuation, Apple (AAPL) should be trading at at least $1200 given the same valuation. I would rather buy AAPL stock with some many new and exciting pipeline products coming. AAPL will probably open around $620 on Monday so you are getting a 50% discount when you compare earnings valuation. This is just one of the reasons Apple's stock continues to ripe higher and pullbacks come and go fast.Facebook (FB) S-1 FilingOur mission is to make the world more open and connected. Junior Seau’s restaurant closes
Getty ImagesSeveral weeks ago, a variety of remarks emerged from influential NFL owners, like Pats owner Robert Kraft, regarding the future of the salary cap under the new CBA. And it painted a not-so-pretty picture for players who are under the impression that it will continue to increase — and that it will spike significantly when the new TV deals kick in.The talk culminated in NFLPA president Domonique Foxworth vowing to “crunch all the numbers.” All the numbers apparently have been crunched. The NFLPA has taken the message directly to the players via a two-page document entitled “The Economic Truth About The New NFL CBA.”The first page begins with an all-caps message that “contrary to recent statements by some NFL owners, the claim that player salaries are flat or are going to remain flat under the CBA are wrong.”Following that are four bullet points:1. “The amount of cash spent on players in salaries an benefits under the new CBA has gone up to nearly 55 percent of All Revenue in 2011. This is a higher percentage of All Revenue spent on players in cash than in any year under the 2006 CBA.”2. “Players were paid more than $160 million per team in cash and benefits in 2011, which is well above the $142.2 million in cap plus benefits in 2011, i.e., a lot of cash over cap.”3. “Equally significant, because of the increase in signing bonuses in rookie guarantees, the amount of player salaries guaranteed in 2011 increased from about 50% in 2010 to about 57% in 2011. This is the highest percentage of guaranteed compensation the NFL players have ever had.”4. “Equally significant, because of the increase in signing bonuses and rookie guarantees, the amount of player salaries guaranteed in 2011 increased from about 50% in 2010 to about 57% in 2011. This is the highest percentage of guaranteed compensation the NFL players have ever had.”The second page contains two paragraphs: “The reason for this large increase in cash spending on players is that the new CBA emphasizes and requires cash spending by teams, as opposed to just salary cap dollars. It also removes the mechanism in the old CBA to lower the salary cap when teams spend too much cash above the salary cap. The result is that the new CBA delivers a higher percentage of revenues to players in cash than the old CBA and salaries have gone up — not remained flat — under the new CBA.”And: “The 47% player share referred to by the owners and others is in cap dollars — which is an accounting mechanism. In real cash dollars, which go into the players’ pockets, the new CBA has so far provided a higher percentage of revenue, a greater percentage of guaranteed money, and more actual dollars, than in any year of the 2006 CBA.”Here’s our objective assessment of the two-page document:1. Ultimately, there’s no difference between salary cap dollars and real dollars. Every dollar paid to a player eventually hits the salary cap. The fact that, collectively, the teams spent over the cap by more than 10 percent per club in 2011 means that, eventually, that excess will be reflected by decreased spending, since fewer cap dollars will be available as the cash-over-cap hits the cap.2. The two-page document says nothing about future cap growth. And therefore it does nothing to refute the contention by multiple owners, like Robert Kraft, that the salary cap will grow only slowly over the next several years.3. The increased use of guaranteed salaries is significant, but in many cases the salaries being guaranteed are salaries that were going to be paid anyway. For example, when a player receives an eight-figure signing bonus and fully-guaranteed first-year base salary, there’s no reason to guarantee the first-year salary because it’s going to be paid with or without a guarantee. And for the first-rounders who now receive three or four years of fully-guaranteed compensation — under a much more limited compensation formula — the chances of any of those players being cut within the first three or four seasons already were slim, to say the least.4. The best news for players, which isn’t mentioned in the document, is that as of 2013 each team must spend in cash 89 percent of the unadjusted salary cap. This means, of course, that there was and is no spending minimum per team in 2011 and 2012.5. The document also omits reference to or explanation of the union’s decision to agree to remove $46 million in total cap dollars from two teams that like to spend money (the Cowboys and Redskins) and redistribute it to teams that may or may not spend it.Here’s the bottom line as to, well, the bottom line. Both sides should feel good about getting a deal done that creates an atmosphere (at least financially) or a true partnership. And the NFL should refrain from saying or doing anything to suggest that the deal isn’t as good as the players think it is. The league should want the players to be happy with the deal, and the players should want the league to be happy with the deal. That’s how a true partnership is supposed to work, and that attitude will help avoid having the NFL slip into lockout or strike status come 2021.
American Idol Recap: Phillip Phillips, Jessica Sanchez, Joshua Ledet Battle For Finale
American Idol season 11's top 3 - FoxThe top 3 contestants remaining in the American Idol season 11 competition couldn’t be more different, but they all want the same thing: to be the last one standing at the finale last week. Jessica Sanchez, Joshua Ledet, and Phillip Phillips were given three chances to prove why they deserve to move on to fight to be that one on last night’s performance show. Round one consisted of songs chosen by the judges, Jennifer Lopez, Steven Tyler, and Randy Jackson. Round two featured songs chosen by the contestants. And round three saw song selections chosen by Idol’s resident music mentor Jimmy Iovine. So how’d the top 3 handle the challenge? Read on for our rundown.Round One: Judges’ PickJoshua Ledet – I’d Rather Go Blind: Clearly the judges wanted another showstopper like Joshua’s “It’s A Man’s Man’s Man’s World” performance from last week, and they got it. Joshua pulled out all the passion and emotion he could muster (and it was plenty!) to deliver a soul-tingling performance of Etta James’ classic. The first performance of the night received the first standing O of the night. “Out of 70,000, there’s only one American Idol, and you sang like that one tonight,” Steven said. “You brought down the house again,” Jennifer said. “Another amazing performance,” said Randy.Jessica Sanchez – My All: The judges chose Mariah Carey’s “My All” for Jessica because they felt the tenderness in the song would cut through Jessica’s roaring diva showboating. It wasn’t easy and it wasn’t perfect — her falsetto shined brighter than her lower notes — but Jessica delivered a nice performance, overall. “That was absolutely beautiful,” Randy said. “I think it’s one of the best times a Mariah song has ever been performed on TV.” “You did it so beautifully and you did it in your own way,” Jennifer said. “You’ll be the last one standing here, I believe,” Steven said.Phillip Phillips – Begging: The choice for this song was made by the judges because it has a great melody and Steven really wanted to see the infamous melody tweeker stick to it. It didn’t happen. Phillip added his signature guitar rock & blues touches. And it worked. It worked well. “It was great,” said Jennifer. “You could be the new [Bruce] Springsteen,” Steven said. “You are so in the zone, and you have been in the zone since day one,” Randy said. “You are who you are, and we love it!”Round Two: Contestants’ ChoiceJoshua Ledet – Imagine: It’s hard for us not to think back to season 7 when this song was done to perfection by David Archuleta, but keeping in mind that Josh is a completely different kind of singer, we liked his version. Josh showed his more subdued side and kept the hallelujah shouts to a minimum. Were we wowed? No. But it was good. “Another thank-you-God moment for you,” Steven said. Jennifer loved that it was a “pulled back and controlled” performance. “That was another stellar performance,” Randy added.Jessica Sanchez – I Don’t Want To Miss A Thing: Nothing like a little last minute ass kissing. We kid. Jessica did a good job with Aerosmith’s big power ballad. Was it the best the show’s ever seen? Nah. Lauren Alaina, who was also 16 years old at the time, slayed it harder in her audition last year. But, again, it was good. Steven showed his appreciation for the performance with a standing O. “You just took a great song and made it greater,” he said. “That was amazing,” Jennifer said. “This girl is bold right here tonight. She wants this,” said Randy.Phillip Phillips – Disease: Phillip was back in laid back, sexy, bluesy mode with his take on Matchbox Twenty’s song. At it’s core, it was just another good showing for PhilPhil, but that sax player really elevated the overall performance to something seductive and special. “I didn’t feel like that was the wow performance that we are needing right now and wanting right now,” Jennifer said. Steven agreed. “It wasn’t over the top, but it was Phillip Phillips.” Randy actually said he “didn’t like it.” “It was just such a subdued moment from you. You can do those things in your sleep. I wanted a bigger moment from you,” he added.Round Three: Jimmy Iovine’s SelectionsJoshua Ledet – No More Drama: Jimmy picked this Mary J. Blige song to give Joshua a moment to “go off” at the end. Well, he got what he was asking for. After taking his time building up the song, Joshua really went off. He threw off his jacket, snatched out his in-ears, and holy ghost stomped around the stage as he shouted (and we mean shouted — Ouch!) the “no more drama” refrains. Vocally, it could have been a little tighter. Performance wise, it was awesome. “At this point, it doesn’t matter what you do, what you sing, you have laid everything on this stage that there is to lay,” Randy said. “People should just stand up and vote for you anyway.” “Out of this world,” Jennifer said. “That was beautiful,” Steven said.Jessica Sanchez – I’ll Be There: Jessica’s final performance of the night was a lovely, but somewhat forgettable rendition of Jackson 5′s smash ballad. We get that Jessica’s done the whole diva thing, and the judges and Jimmy wanted to pull that back, but sheesh! None of Jessica’s song choices offered her a chance to give that bang, pow, WOW performance that’s needed in this stage of the competition. “You nailed it,” Steven said. “Perfect tone in your voice,” Jennifer said. “I liked it OK. I didn’t love it,” Randy said.Phillip Phillips – We’ve Got Tonight: Jimmy had Phillip close the show by playing on his charisma and ability to make the ladies swoon with glee with Bob Seger’s gentle ballad. This was a whole new side to Phillip. He sat on a stool without his guitar through the whole thing and just crooned his dreamy little heart out. We could tell he missed his guitar, though. He rubbed his leg with his free hand throughout the performance. Way to seduce, PhilPhil! Anyways, the vocals were gorgeous. We’d peg it his best vocal performance of the season. Standing O from all three judges for Phillip. “The perfect song at the perfect time, and your best performance on this show ever,” Randy said. “There’s 20 million girls out there who wish you were singing that song to them,” Jennifer said. “It was really really sweet…like a lullaby.” “That was beautiful,” Steven said.Predictions: Wow. It’s so tough to predict at this point. Based on last night, it’s looking like a Joshua/Phillip finale. We’d be OK with that. Results tonight! We’ll finally know who will make it into the finale! Also, performances by Lisa Marie Presley and Adam Lambert!
